At the Joint General Assembly on May 17, 2022, it is proposed to appoint Mrs. Leticia Leonard Reuters and Mrs. Laurent Muzy for a four-year term in accordance with the provisions of Article 12 of the Articles of Incorporation. .. ..

These appointments will be valid for four years at the end of this meeting, following the expiration of the missions of Olivier Zaruati and Eric Hemar, respectively. These terms expire at the end of the Annual General Meeting of Shareholders convened in 2026 to approve the financial statements for the fiscal year ending December 31, 2025.

Regarding the AFEP-MEDEF Code Independence Criteria, it is stated that Laetitia Leonard – Reuter and Laurent Musy are considered independent directors (both succeeding independent directors Olivier Zarrouati and Eric Hémar).

At the Joint General Assembly, it will be proposed to renew the duties of Mrs. Sharon McBeece (Independent Director) and approve the appointment of Mr. David Gunsburg as a non-executive director.

Therefore, the board of directors consists of 10 members, 5 women and 5 men, 6 of whom are independent directors, subject to voting in favor of these resolutions at the end of the General Assembly.

Laetitia Leonard – Reuters (Born June 28, 1975 – French nationality)
Laetitia Léonard-Reuter is a graduate of HEC Paris, Saint-Gall University (Switzerland) and an auditor of the Institute of Advanced Business Studies (IHEE).
She joined Generali France in November 2018 as Chief Financial Officer.
She has previously been with the Axa Group since 2003 and has held various positions. She is Corporate Finance Manager, Head of Group Capital Management, and in 2014, Chief Financial Officer of AXA Global P & C, an organization specializing in damage activities and reinsurance. In 2017 she became Chief Data Officer of Axa France.
She started her career in 2000 as an M & A analyst in the telecommunications, media and technology divisions of JPMorgan Chase.

Laurent Muzy (Born August 14, 1966 – French nationality)
Laurent Musy is an engineer, graduated from Ecole des Mines de Paris and holds an MBA from Insead.
Since 2015, he has been Chairman and CEO of the TERREAL Group.
He joined Terreal after working for the aluminum industry in France and abroad for 17 years. He recently served as President of Packaging and Automotive, then Constellium’s Aviation and Transportation Division. He previously worked in Saint-Gobain and McKinsey.
In June 2018, he was elected president of the French Style Brick Federation.
